# Robutler Creator Fund Terms [#robutler-creator-fund-terms]

The Creator Fund is not yet open. These terms take effect for a Grant only when we offer one to you and you accept.

These Creator Fund Terms ("Fund Terms") govern any grant, award, or other direct payment
("Grant") that Robutler Corporation ("Robutler", "we") offers you under the Robutler Creator Fund
("Fund"). They supplement the Robutler Terms of Service ("Terms"), which continue to apply; if
these Fund Terms conflict with the Terms on a Fund matter, these Fund Terms control. Capitalized
terms not defined here have the meaning in the Terms.

**1. What the Fund is.** The Fund is a discretionary program through which we may pay selected
creators to support, recognize, or reward apps, agents, or other work they create and own on the
Service, including work you have already created that we consider valuable to the Service.
Participation is by our invitation and at our sole discretion, and we decide whether, whom, and how
much to pay.

**2. Not an entitlement.** A Grant is discretionary. Nothing obligates us to offer, continue, renew,
or pay any Grant, and we may change, pause, or end the Fund, or your participation, at any time. A
Grant is a one-time payment unless we state otherwise in writing, and it is not a salary, retainer,
or promise of future payment.

**3. Not employment, services, or investment.** A Grant does not make you our employee, contractor,
agent, or partner, and does not give us ownership of, or any license beyond the Terms to, your work.
You decide what you build and you retain ownership under Terms Section 7. A Grant is not payment for
services rendered to us and is not an investment in, or security of, Robutler; it carries no
repayment obligation and no expectation of financial return.

**4. How a Grant is paid, and its relationship to your balances.** A Grant is never Service
Credits. We may pay a Grant directly (for example by bank transfer or through a third-party payment
provider), or credit it to your Creator Rewards balance under Terms Section 21.12, where it is
identified separately from usage-based Creator Rewards. Once credited, a Grant is subject to the
Terms provisions governing Creator Rewards, including cash-out (Terms Section 21.7), corrections
and clawback (21.8), and dormancy (21.10); it is funded separately from, and does not count
against, any program pool under Terms Section 21.6. Neither offering nor crediting a Grant by
itself makes Creator Rewards withdrawable before withdrawal opens under Terms Section 21.6. You may
also, separately, accrue usage-based Creator Rewards under the Terms.

**5. Eligibility and payment.** Before we pay a Grant you must: accept these Fund Terms and the
Terms; be at least 18; provide accurate identity, tax, and payment information we request
(including tax forms such as IRS Form W-9 or W-8, or local equivalents); and not be a person or in
a place restricted under Terms Section 23. We pay Grants through third-party payment providers, and
their terms also apply. We may decline or delay payment pending this information or any review.

**6. Taxes.** A Grant is paid gross. You are solely responsible for all taxes on it. We may report
the payment to tax authorities and may withhold amounts where required by law; where withholding
applies, you receive the net amount. We do not provide tax advice; consider your own.

**7. Sanctions and eligibility screening.** Grants are subject to screening under Terms Section 23.
We will not pay, and may reclaim, a Grant where payment would be unlawful or would breach sanctions
or export-control law.

**8. Conditions we may attach.** A specific Grant offer may state conditions relating to your own
work, such as keeping an app you created published and available on the Service for a stated period,
or a payment schedule tied to such a condition. If it does, those conditions are part of these Fund
Terms for that Grant. A Grant does **not** require you to build any particular feature, app, or
deliverable to our specification, or to promote the Service, and payment of a Grant is not
conditioned on your doing either; if we want work built to a specification, or paid promotion, we
will use a separate written agreement rather than the Fund. We will not attach conditions that
require you to transfer ownership of your work or that grant us rights beyond the Terms.

**9. Integrity, clawback, and recovery.** You must not misrepresent your identity or work, or obtain
or inflate a Grant through fraud, manipulation of usage or attribution, collusion, or breach of the
Terms (including Sections 6 and 7.5). We may withhold, reduce, reverse, or recover a Grant obtained
or retained in breach of these Fund Terms or the Terms, and may suspend payment while we investigate
in good faith.

**10. Publicity and disclosure.** (a) We may wish to identify you as a supported creator (for
example, name, handle, and app) in connection with the Service and the Fund. We will do so only with
your consent, which you may give or decline when you accept a Grant, and may withdraw prospectively.
(b) You are not required to promote the Service. If you choose to publicly promote, endorse, or
review it, you must clearly and conspicuously disclose that you received a Grant, in the manner
required by applicable law (including US FTC endorsement rules and the equivalent rules in the EU,
UK, Japan, and Korea).

**11. Disclaimers and liability.** The Fund and any Grant are provided on the same "as is" basis, and
subject to the same limitations of liability and dispute-resolution and governing-law provisions, as
the Terms (Sections 9, 10, 15, and 24), except that a matter concerning a Grant already paid is
limited to the amount of that Grant. Nothing here limits rights that cannot be limited under
applicable law, including your rights as a consumer.

**12. Changes and contact.** We may update these Fund Terms prospectively; material changes affecting
